Terms of Service

Standard Enterprise SaaS Agreement between MyRevue Technologies Ltd (trading as "Denvora") and the Workspace Subscriber ("Customer"). Effective October 2026.

Recording Consent & All-Party Notice MandateBy dispatching the Denvora notetaker bot into Zoom, Google Meet, or Microsoft Teams, you warrant that you have provided prior notice and obtained all required consents from call participants pursuant to the UK GDPR, Data Protection Act 2018, Regulation of Investigatory Powers Act 2000 (RIPA), and applicable international wiretapping laws.

1. Acceptance & Contracting Entity

These Terms of Service ("Agreement") govern your access to and use of Denvora ("the Service"), an AI-assisted meeting transcription, real-time template tracking, and post-call debrief dossier synthesis platform operated by MyRevue Technologies Ltd, a company registered in England and Wales ("Denvora", "we", "us", or "our").

By creating an account, connecting a calendar, dispatching a notetaker bot, or purchasing a subscription, you agree to be legally bound by this Agreement, our Privacy Policy, and our UK/EU GDPR Article 28 Data Processing Addendum (DPA). If you are accepting on behalf of an organisation, you warrant that you have full legal authority to bind that entity as the Data Controller.

2. Subscriptions, Free Trials, Call Quotas & Billing

Denvora operates on a monthly or annual subscription model billed in Pound Sterling (GBP), plus applicable UK Value Added Tax (VAT):

  • Solo Plan (£29/mo or £23/mo billed annually): 20 debrief calls per month, 1 workspace seat, custom templates, and full calendar/video integrations. Includes a 7-day free trial for first-time subscribers (valid payment method required at checkout).
  • Team Plan (£75/mo or £59/mo billed annually): 100 debrief calls per month, unlimited workspace seats, shared candidate evaluations, Slack Block Kit dispatch, and role-based access control. Includes a 7-day free trial for first-time subscribers (valid payment method required at checkout).
  • Enterprise Plan (£299/mo or £249/mo billed annually): 500 monthly debrief calls, unlimited workspace seats, dedicated EU data residency (`eu-central-1` / `eu-west-1`), custom DPA countersignature, and 99.9% uptime SLA.
  • On-Demand Call Top-Up Pack (£19 one-off): 10 non-expiring bonus debrief call credits that persist across monthly billing cycles.

7-Day Free Trials: Eligible Solo and Team subscriptions begin with a 7-day free trial. You will receive an automated trial-ending reminder 3 days prior to conversion. Unless cancelled via the Stripe Customer Portal before the trial expires, your designated payment method will be charged automatically for the selected billing cycle.

Failed Payments & Dunning: If a renewal charge fails, your workspace status transitions to past_due and new bot dispatches are paused until the outstanding invoice is settled via the Stripe Customer Portal.

3. Participant Consent & Operator Obligations

The Denvora notetaker functions as an visible, automated participant in virtual meetings. As the Workspace Subscriber and Data Controller, you covenant that:

  1. You are solely responsible for complying with all recording, transcription, and data protection laws in the jurisdictions of all call attendees.
  2. You will maintain a transparent bot display name (e.g. "Denvora Notetaker") and provide clear pre-call or in-call recording notices.
  3. You will immediately dismiss the bot (`POST /api/bot/dismiss` or Live Console Eject) if any participant objects to or withdraws consent for recording, which immediately purges the raw audio buffer under UK GDPR Article 17.

4. AI Governance, UK Equality Act 2010 & EU AI Act Compliance

Denvora utilizes enterprise large language models (Google Cloud Gemini 3.5 Flash-Lite / 1.5 Flash under Zero Data Retention) to assist human interviewers by structuring notes against human-authored templates.

Mandatory Human-in-the-Loop (EU AI Act Art. 14): Denvora is strictly an assistive documentation tool and is not an automated employment decision-making system. Every dossier includes an explicit Human Decision override (`Strong Hire`, `Hire`, `Lean Hire`, `Lean No`, `No Hire`) that must be reviewed and confirmed by a qualified human decision-maker.

UK Equality Act 2010 Fair Hiring Mode: Denvora enforces Fair Hiring guardrails designed to ignore protected characteristics (age, disability, gender reassignment, marriage/civil partnership, pregnancy/maternity, race, religion/belief, sex, and sexual orientation).

5. Customer Data Ownership, Zero Model Training & GDPR DPA

You retain 100% ownership, title, and intellectual property rights in all transcripts, templates, and dossiers ("Customer Data").

Zero Foundation Model Training: Neither MyRevue Technologies Ltd nor any of its subprocessors use Customer Data, audio streams, or interview transcripts to train, fine-tune, or improve public foundation models.

Data Processing Addendum (DPA): To the extent Denvora processes Personal Data on your behalf as a Data Processor under the UK GDPR or EU GDPR, our Article 28 Data Processing Addendum (/dpa) is automatically incorporated by reference into this Agreement.

6. Data Portability Export & Right to Erasure

You may export your complete workspace data archive in machine-readable JSON format (`GET /api/account/privacy`) or permanently delete your account and all associated workspace records (`DELETE /api/account/privacy`) at any time directly from Workspace Settings → Data & Privacy.

7. Limitation of Liability

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under the laws of England and Wales.

Subject to the foregoing, Denvora shall not be liable for indirect, incidental, special, or consequential losses, and Denvora's total aggregate liability in any twelve (12) month period shall not exceed the greater of (a) the total subscription fees paid by Customer in the twelve (12) months preceding the claim, or (b) £500 GBP.

8. Governing Law & Exclusive Jurisdiction

This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. The courts of London, England shall have exclusive jurisdiction.
